OC BEAUTY WHOLESALE TERMS & CONDITIONS

These Wholesale Terms & Conditions outline the basics of working with OC Beauty as a wholesale customer. By applying for, opening, or placing an order through an OC Beauty wholesale account, you agree to these terms.

1. WHOLESALE ACCOUNT ELIGIBILITY

Wholesale accounts are available to established businesses purchasing OC Beauty products for resale to their own customers.

OC Beauty reserves the right to approve or decline wholesale applications and may request additional information before approving an account.

Wholesale accounts are intended for legitimate retail businesses and are not available for personal purchases.

2. WHOLESALE PRICING

Wholesale pricing is available only to approved wholesale accounts.

Wholesale pricing is confidential and intended solely for the approved retailer. Wholesale pricing may not be publicly advertised or shared with customers, other retailers, or third parties without written permission from OC Beauty.

OC Beauty reserves the right to change wholesale pricing at any time. Price changes will not affect orders that have already been confirmed and paid for.

3. PRODUCT MINIMUMS & ORDERS

The standard wholesale minimum is 6 units per product/SKU.

Orders that do not meet the 6-unit minimum may be accepted at the discretion of OC Beauty. Exceptions must be approved by OC Beauty before the order is placed.

Certain products may have different minimum quantities or case-pack requirements. These requirements will be identified when placing an order.

There is no annual minimum purchase requirement once a wholesale account has been approved.

4. PAYMENT

Wholesale orders must be paid in full before they are processed for production and fulfillment unless separate payment terms have been approved in writing by OC Beauty.

We currently accept credit cards and other payment methods made available at checkout.

An order is considered confirmed once payment has been successfully received.

OC Beauty reserves the right to cancel or decline an order where there is a pricing error, inventory issue, suspected fraud, or other legitimate reason.

5. SHIPPING

Wholesale shipping is free on orders of $1,000 or more, before applicable taxes and after any discounts.

For wholesale orders under $1,000, shipping is calculated at checkout based on the order and delivery location.

Orders are shipped once they have been completed and payment has been received.

OC Beauty will make reasonable efforts to meet estimated processing and shipping timelines, but delivery dates are not guaranteed. Delays caused by carriers, weather, customs, supply chain issues, or circumstances outside of OC Beauty's control are not the responsibility of OC Beauty.

The retailer is responsible for providing an accurate shipping address and contact information.

6. PRODUCT AVAILABILITY

OC Beauty products are made in small batches, and inventory may occasionally be limited.

We reserve the right to limit quantities, substitute products where agreed upon, or remove products from wholesale availability at any time.

If an item becomes unavailable after an order has been placed, OC Beauty will contact the retailer regarding available options.

7. RETURNS, DAMAGES & ORDER ISSUES

Wholesale orders are final sale unless otherwise agreed to by OC Beauty.

If an order arrives damaged, incorrect, or has missing products, the retailer must contact OC Beauty within 7 days of delivery.

Photos and other information may be requested to help us investigate the issue and process a replacement, credit, or other appropriate resolution.

Products that have been opened, used, altered, relabeled, or damaged after delivery are not eligible for return.

8. PRODUCT STORAGE & HANDLING

Retailers are responsible for storing and handling OC Beauty products appropriately after delivery.

Products should be kept in suitable conditions and protected from excessive heat, cold, moisture, direct sunlight, and other conditions that could affect product quality.

Retailers must follow any applicable product, packaging, storage, and safety instructions provided by OC Beauty.

9. RESALE & PRODUCT PRESENTATION

Retailers may resell OC Beauty products through their approved physical retail location and/or their own approved online store.

Products must be sold in their original OC Beauty packaging.

Retailers may not alter, relabel, repackage, dilute, combine, or otherwise modify OC Beauty products for resale without written permission from OC Beauty.

Retailers may not remove or obscure product labels, batch information, ingredients, directions, warnings, or other required product information.

10. APPROVED SALES CHANNELS

OC Beauty wholesale products may be sold through the retailer's approved physical retail location, website, or other sales channels specifically approved by OC Beauty.

Wholesale products may not be sold through third-party marketplaces, including but not limited to Amazon, Walmart Marketplace, eBay, Etsy, or similar platforms, without prior written approval from OC Beauty.

OC Beauty reserves the right to suspend or terminate a wholesale account if products are being sold through unauthorized channels.

11. USE OF OC BEAUTY BRAND MATERIALS

Approved retailers may use OC Beauty product names, descriptions, images, logos, and other approved marketing materials for the purpose of promoting and selling OC Beauty products.

Retailers may not alter the OC Beauty logo or create materials that could reasonably suggest they own, manufacture, or represent OC Beauty beyond their role as an authorized retailer.

OC Beauty may request that specific marketing materials be removed or corrected if they are inaccurate, misleading, outdated, or inconsistent with the brand.

12. PRODUCT CLAIMS & MARKETING

Retailers must use accurate product information when advertising OC Beauty products.

Retailers may not make medical, therapeutic, drug, disease, or other claims about OC Beauty products that are not included in OC Beauty's approved product information.

Retailers are responsible for ensuring that their advertising and marketing comply with all applicable laws and regulations.

13. INTELLECTUAL PROPERTY

All OC Beauty trademarks, logos, product names, photographs, written content, packaging designs, and other brand materials remain the property of OC Beauty or their respective owners.

Nothing in these terms grants a retailer ownership of OC Beauty intellectual property.

14. ACCOUNT SUSPENSION OR TERMINATION

OC Beauty may suspend or terminate a wholesale account if a retailer:

• Breaches these Wholesale Terms & Conditions

• Sells products through unauthorized marketplaces or channels

• Misuses OC Beauty branding or intellectual property

• Provides false or misleading business information

• Fails to pay amounts owed

• Resells, modifies, or repackages products without authorization

• Engages in conduct that could reasonably harm the OC Beauty brand or its customers

If an account is terminated, the retailer may no longer purchase products using wholesale pricing unless OC Beauty provides written approval.

15. CONFIDENTIALITY

Wholesale pricing, special offers, account information, and other non-public information provided by OC Beauty are considered confidential business information and should not be shared publicly or with competing businesses.

16. TAXES

The retailer is responsible for all applicable taxes, duties, fees, and other charges associated with the purchase or resale of OC Beauty products, except where OC Beauty is legally required to collect and remit them.

17. INDEPENDENT BUSINESSES

Wholesale retailers are independent businesses and are not employees, agents, partners, franchisees, or representatives of OC Beauty.

Being an approved OC Beauty retailer does not create a partnership, joint venture, agency, or other business relationship beyond the wholesale purchase and resale of products.

18. CHANGES TO THESE TERMS

OC Beauty may update these Wholesale Terms & Conditions from time to time.

Updated terms will apply to future orders and accounts after they have been made available to retailers.

19. GOVERNING LAW

These Terms & Conditions are governed by the laws of the Province of Ontario and the applicable laws of Canada.

Any dispute arising from these terms will be subject to the applicable courts of Ontario.

20. ACCEPTANCE

By applying for an OC Beauty wholesale account or placing a wholesale order, the retailer confirms that:

• The information provided to OC Beauty is accurate and current.

• They are purchasing products for legitimate resale purposes.

• They have read and agree to these Wholesale Terms & Conditions.

• They agree to comply with OC Beauty's approved sales channel requirements.

• They understand that wholesale pricing and account information are confidential.

• They agree to follow all applicable laws and regulations relating to the resale and marketing of OC Beauty products.
